Mimelis Lab Members Regulations

Welcome to Mimelis Lab! We are pleased to welcome you to our platform (“Platform”) to join the Mimelis Lab label and to measure, assess, and showcase your systemic commitment to positive-impact practices. Below you will find how our platform (“Platform”) operates and the rules applicable to Mimelis Lab members, hereinafter referred to as the “Members Regulations”. These regulations form part of our Terms of Use. By creating a Mimelis Lab account, you agree to these regulations as well as to our Terms of Use.

  1. Purpose and scope of application

    Mimelis Lab is a program developed, operated, and administered by the Swiss company Mimelis SA, the sole entity possessing legal personality. Any reference to “Mimelis Lab” in these General Conditions shall be understood as a reference to Mimelis SA acting within the framework of the Mimelis Lab program.

    These terms of use govern membership, the use of services and tools offered by Mimelis Lab, as well as the rights and obligations of members. Any company, organization, or individual joining Mimelis Lab accepts these terms without reservation.

    As a member, you may use the services related to Mimelis Lab certification, subject to the eligibility criteria defined in the Mimelis Lab Certification Policy. Only members meeting these criteria can initiate the certification process. Ineligible members are not entitled to any refund or compensation in case of an inappropriate selection. As a member, you also accept this policy, which forms an integral part of the present Member Regulations. It is therefore essential to read it carefully.

  2. Presentation of Mimelis Lab

    Mimelis Lab’s mission is to structure, assess, and make visible companies’ positive-impact commitments through a common framework, assessment tools, and, where applicable, certification. Mimelis Lab is responsible for administering the Mimelis Lab label and the Mimelis Lab certification.

  3. Definitions

    Here are some important definitions:

    • Company public profile: a public page presenting the company, its commitments and practices, and, if Mimelis Lab certification has been obtained, the scores achieved by domain.
    • Mimelis Lab Impact Assessment (MLIA): a multidimensional assessment tool for a company’s positive impacts.
    • Mimelis Lab Certification: formal recognition granted following an evaluation process.
    • Member: any company, organization, or individual registered on Mimelis Lab.
    • Membership Fee: the annual amount due by the Member for membership in Mimelis Lab. The Membership Fee includes fees depending on the type of membership and Contribution Fees.
    • Contribution Fees: composed of a Solidarity Contribution, calculated based on the entity’s annual turnover, and a Voluntary Contribution, the amount of which is chosen by the entity.
    • Cockpit: private space where the company can manage its information (entities, Company Public Profile, certifications, badges, etc.).
  4. Conditions for joining the Mimelis Lab label

    The Mimelis Lab label is open to:

    • companies headquartered in Switzerland;
    • subsidiaries, international companies, groups, or entities with significant activity in Switzerland;
    • institutions or foundations;
    • individuals.
  5. General principles and membership fees

    1. The membership type – Standard or Lite – forms the basis of the membership fees.
    2. Contribution fees are then added, consisting of a solidarity component (calculated based on the annual turnover of the joining entity) and a voluntary component (intended to provide broader support for the actions and development of the Mimelis Lab label).
    3. All membership-related fees together constitute the Member’s Membership Fee.
    4. Membership fees are due annually and billed in a single installment.
    5. All membership fees paid, or for which an invoice has been issued, remain due and non-refundable, unless expressly stated otherwise.
    6. When configuring their Membership Fee, the user may choose whether to also cover payment processing fees.
    7. Membership in the label is distinct from the certification process.
  6. Type of membership

    Members may choose between different membership types, including:

    • Standard Membership: access to the Company Public Profile and advanced features; allows participation in the Mimelis Lab certification process.
    • Lite Membership: access to the Company Public Profile with reduced configuration options; does not allow participation in the Mimelis Lab certification process.
  7. Standard membership and certification fees

    The Standard membership includes certification fees as well as verification fees.

    It is due annually for a period of three years, corresponding to the validity period of the Mimelis Lab certification.

    Each year, the member entity benefits from one included attempt to improve its score or, if certification has not yet been obtained, to attempt to obtain it.

  8. Solidarity contribution

    The solidarity contribution is calculated based on the entity’s turnover for the previous year (N-1) and must be updated annually.

  9. Voluntary contribution

    1. The voluntary contribution helps ensure the sustainability of the label and provides enhanced support for its development. It is freely defined by the organization and reflects its level of commitment.
    2. Each member may select the level of support best suited to its objectives during registration and directly from its account. Payment is made in a simple and unified manner at the same time as the annual membership fee.
    3. The amount of the annual voluntary contribution remains confidential. It is used to determine the level of benefits granted to the entity.
    4. The voluntary contribution determines the level of visibility on the Platform and, within each level, the exact amount influences positioning in search results, for example. Several ranks may be reached with different benefits. By way of example, the following ranks exist:
      1. for all entity types: Support Rank I to III;
      2. for companies: Main or Strategic Partner rank;
      3. for institutions and foundations: Institutional Support Rank I or II.
    5. Specific ranks such as Partner or Institutional Support are strongly highlighted in specific areas of the Platform, and entities may be mentioned in marketing communications.
  10. Additional entities

    1. Each membership allows the member to manage one entity, along with its Company Public Profile and certification.
    2. The user may choose to manage additional entities; applicable pricing depends on the membership type, as described in the article Mimelis Lab Membership and Certification – Pricing.
    3. The user may then manage their various entities from their Cockpit. For example, a group may register several entities and represent them separately.
  11. Specific conditions for individual members

    1. Individual members do not have access to company-related tools: Company Public Profile, Certification.
    2. An individual only has access to the Lite Membership.
    3. They may also make a Voluntary Contribution; benefits related to company visibility do not apply.
  12. Consultation and updates of membership pricing

    1. Current pricing and fees may be consulted at any time in the article Mimelis Lab Membership and Certification – Pricing.
    2. When a Member starts a membership or modifies it, the applicable pricing is systematically presented.
    3. New pricing that comes into force does not affect an already active membership and applies only upon renewal.
  13. Invoicing

    1. An invoice is issued as soon as the Member becomes a member or makes a modification that changes the membership amount.
    2. Each invoice goes through a preparation phase before being finalized and sent to the Member.
    3. From the moment of issuance, including during the preparation phase, the invoice amount is due.
    4. The first invoice is issued when the membership begins.
    5. Subsequent invoices are generated annually or upon any modification resulting in an additional amount.
    6. The Member may consult their full invoicing history from their Cockpit, view invoice statuses, download invoices, and access the invoice planned for the next membership period.
  14. Payment methods

    1. The Member may pay their annual membership fee by credit card, by any other payment method offered on the Platform, or, where applicable, by invoice. Certain payment methods may not be available depending on the membership amount, membership type, or Member profile.
    2. The Platform uses the secure payment provider Stripe for payment management, particularly for collecting membership fees related to the Mimelis Lab label. Payment processing services are provided by Stripe and are subject to the Stripe Services Agreement. By accepting these General Conditions and/or becoming a Member, the Member agrees to be bound by the Stripe Services Agreement, as amended by Stripe from time to time. To benefit from payment processing services offered via Stripe, the Member undertakes to provide accurate, complete, and up-to-date information regarding their identity and entity. The Member expressly authorizes Mimelis SA, within the framework of the Mimelis Lab program, to transmit to Stripe the information necessary for payment processing, including transaction data.
    3. By choosing an automatic payment method, such as credit card payment, the Member expressly authorizes Mimelis SA to automatically debit the registered payment method for the amount due, as well as any additional amounts resulting from a modification of the membership in accordance with these General Conditions.
    4. This authorization remains valid as long as the Member maintains an active payment method on their account or until expressly revoked, subject to amounts due.
  15. Payment by invoice

    1. When this payment method is available, an initial invoice is issued as soon as the user becomes a member. Subsequent invoices are issued annually.
    2. Invoices must be paid within the specified payment period or, failing that, within 20 days.
    3. In the event of non-payment, a first reminder will be sent. If the deadline is still not met, a second reminder will be sent.
    4. Each reminder for unpaid invoices incurs a reminder fee of CHF 50.00.
    5. Mimelis Lab may decide to temporarily exclude the member as of the first reminder, and certain features may be limited. Once the second reminder expires, the member is excluded.
  16. Payment default

    1. In the event of non-payment of a membership fee or invoice within the specified timeframe, Mimelis SA, acting for the Mimelis Lab program, may:
      1. temporarily suspend access to certain features or services;
      2. limit access to the public profile or associated tools;
      3. send one or more payment reminders, each incurring a fee of CHF 50.00.
    2. If payment is not regularized after the second reminder, the Member may be excluded from the Mimelis Lab label and their public profile deactivated until payment is settled.
    3. Amounts due remain payable despite any suspension or exclusion.
    4. No refund or compensation shall be granted for periods during which the Member was suspended or excluded.
    5. Mimelis SA reserves the right to take any necessary measures to recover amounts due in accordance with Swiss law, including legal action if required.
  17. Modification of membership

    1. The Member may modify their membership at any time from their dedicated space (“Cockpit”). This may include the membership type, the amount of the voluntary contribution, and the number of additional entities attached to the account.
    2. Any modification takes effect immediately upon validation. In the case of an upgrade, the Member immediately benefits from the associated features. In the case of a downgrade, the benefits of the previous membership cease immediately. If an active membership is modified to a higher level or additional paid components are added, billing is performed on a pro rata temporis basis for the remaining membership period.
    3. Once a modification resulting in an additional amount is validated, a corresponding invoice is issued.
    4. If an automatic payment method is registered, the amount due is automatically debited.
    5. No refund, credit, or compensation shall be granted for a downgrade or removal of components for the current membership period.
  18. Public profile and transparency

    1. The Member is responsible for the accuracy, sincerity, and updating of information published on their public profile.
    2. All communications must faithfully reflect the company’s actual practices and commitments.
    3. Mimelis Lab reserves the right to request corrections or suspend a profile in the event of misleading information.
  19. Rights and obligations of members

    The Member undertakes to:

    1. respect the framework and values of the Mimelis Lab label;
    2. provide accurate and verifiable information;
    3. use the tools and certification fairly and in compliance.

    The Member remains solely responsible for the consequences of their external communications.

  20. Use of Mimelis Lab logos

    1. Mimelis Lab provides Members with official logos to highlight their commitment within the program.
    2. There are two main categories:
      1. M… Support: all Members may use this category to show their support for the label.
      2. M… Certified: only entities that have obtained Mimelis Lab certification may use this category, in addition to the “Support” logo.
    3. The exact logo a Member is authorized to use depends on their entity type and certification status and may not be modified.
    4. The Member may consult authorized and unauthorized logos from their Cockpit, download official resources, and view the exact version to use.
    5. Logos must be used as-is, only in black or white, and in compliance with the Certification Notice applicable to the “Certified” logo.
    6. If a graphic resource is missing, the Member must contact Mimelis Lab rather than modifying an existing logo.
    7. Where technically possible, such as on a website, the logo used must link to the Member’s public profile to ensure transparency and traceability.
    8. The Member is responsible for verifying their right of use; for example, a “Certified” logo may no longer be used if the certification has expired.
    9. Any non-compliant use constitutes a violation of Mimelis SA’s rights and may result in legal action.
  21. Suspension and exclusion

    Mimelis Lab reserves the right to suspend or exclude a member in the event of:

    • manifest false declarations;
    • non-compliance with these conditions;
    • abusive or misleading use of the label or certification.
  22. Termination of membership

    1. The Member may terminate their Mimelis Lab membership at any time, subject to compliance with ongoing financial obligations.
    2. Termination takes effect at the end of the current membership period, unless otherwise agreed.
    3. The Member may cancel their termination request as long as it has not yet taken effect.
    4. Termination does not give rise to any refund of membership fees already paid and does not release the Member from amounts due for the current period or for services already consumed.
    5. Any termination or cancellation request must be made via the Cockpit or according to the procedure indicated by Mimelis Lab.
  23. Closing a Mimelis Lab account

    To close their Mimelis Lab account, the Member must:

    • have ceased all active memberships;
    • have settled all invoices and amounts due.

    The detailed procedure for closing an account is described in the article Procedure for Closing a Mimelis Lab Account.

    1. Closing the account results in the permanent removal of access to tools and features associated with the program, as well as deactivation of the Member’s public profile.
    2. Mimelis Lab reserves the right to retain certain data for legal or tax obligations in accordance with applicable law.
  24. Availability and limitation of liability

    The Member acknowledges that access to Mimelis Lab services, the Cockpit, and associated tools depends on technical systems, computer networks, and third-party providers. Consequently, Mimelis Lab and Mimelis SA cannot be held liable for:

    • temporary interruptions or technical failures;
    • delays in making services or information available;
    • malfunctions related to the Member’s equipment or software;
    • any indirect damage resulting from the use of the services.

    Mimelis Lab makes every effort to ensure continuity and availability of its services but does not guarantee uninterrupted access.

  25. Warranty and liability regarding data and services

    All warranties and liabilities are excluded regarding data, content, assessments, and services provided by Mimelis Lab or via the Platform. In particular, Mimelis Lab does not guarantee:

    • the accuracy, completeness, or timeliness of data and information;
    • the informational value, relevance, or suitability for a specific purpose of content and assessments;
    • the reliability of downloadable files or documents.

    The Member uses the data and services at their own risk, to the extent permitted by applicable law.

  26. Company public profile

    1. The company’s public profile and any other publicly accessible elements are under the sole responsibility of the company.
    2. The Member undertakes to provide and maintain accurate and up-to-date information.
    3. Mimelis Lab reserves the right to verify, correct, or modify any public profile information, whether minor (spelling, syntax) or more substantial, as deemed necessary. The company expressly accepts this right.
    4. In the event of major modifications, Mimelis Lab may not notify the company. The Member may nevertheless contact Mimelis Lab to request appropriate adjustments.
    5. The company remains responsible for regularly reviewing its public profile.
    6. Mimelis Lab disclaims any liability for the consequences of modifications made to the public profile.
  27. Copyright and content

    All content, documents, logos, visuals, and data available on the Platform or via Mimelis Lab are the exclusive property of Mimelis SA, acting on behalf of Mimelis Lab, and are protected by copyright and applicable law. Any reproduction, modification, distribution, or use without prior written authorization is strictly prohibited.

  28. Trademark and trade name protection

    1. The name “Mimelis Lab”, its variations, and associated elements, including but not limited to: Mimelis Lab Label, Mimelis Lab Certification, Mimelis Lab Impact Assessment (MLIA), as well as logos and visuals, are the exclusive property of Mimelis SA.
    2. These elements are protected under trademark law, trade name law, and copyright law, even without formal registration.
    3. Any use, reproduction, modification, distribution, or exploitation for commercial or competitive purposes is strictly prohibited without prior written authorization.
    4. All content, documents, reports, assessments, public profiles, and data generated or provided by Mimelis Lab are protected by copyright and remain the exclusive property of Mimelis SA.
    5. Members or users are granted only a limited, non-transferable right of use for internal purposes and may not redistribute or exploit them without authorization.
    6. Any infringement of these rights constitutes a violation of intellectual property and may give rise to legal action in accordance with applicable law.
  29. Mimelis Lab contact

    All contacts relating to Mimelis Lab or its services must be made exclusively through the communication channels provided by the Platform, in particular:

    • via the contact form available on the website: mlab-mimelis.ch/contact;
    • or by replying to any email sent by Mimelis Lab.

    Mimelis Lab cannot be held responsible for communications received through other means. It is recommended to use these official channels to ensure secure and efficient processing of your request.

These regulations are offered to you in the language of your choice, however it is important to note that it is the French version of the document that controls and governs your use of the Mimelis services.
